	the receipt of financial assistance of an indirect subsidiary

Buriram Sugar Public Company Limited ("the Company"), would like to inform the resolution of the Board of Directors' Meeting No. 5/2022 held on Thursday 11th August 2022, approved Buriram Green Energy Company Limited ("BGE") (an indirect subsidiary) to receive financial assistance from connected persons. The details are as follows;

1.) Transaction date:

Within the 3rd quarter of Year 2022 after the approval by the Board of Directors' Meeting

2.) Connected parties:

Name of the recipient of the financial assistance:

Buriram Green Energy Company Limited ("BGE") (an indirect subsidiary) which BRR holds shares through BRR Green Holding Company Limited ("BGH") in BGE 55.60% of shares

Name of the offer persons of the financial assistance: Mr. Anant Tangtongwechakit and Mr. Sarit Tangtrongwechakij

Relationship: The offer persons of the financial assistance are directors, executives, and major shareholders of BRR holding 74.97% of shares, including the persons prescribed under Section 258 and close relatives specified in the Securities and Exchange Act B.E. 2535. (and its amendment) Also, they are persons within the same group as defined in the definition of Acting in concert in accordance with Notification of the Capital Market Supervisory Board No. TorChor. 7/2552 Re: Acting in concert as a result of the nature of a relationship or behavior and requirements under Sections 246 and 247. Moreover, the offer persons of the financial assistance are shareholders and directors of Buriram Green Energy Company Limited ("BGE") as well.

3.) Nature of the transaction:

Type of the Transaction	: Related Parties Transaction Re: The Receipt of Financial Assistance
Credit facility	: Long-term loan in the amount of not exceeding 5,733,000 Baht and 1,765,764
	Baht (Floating rate loans)
Interest Rate	: 4.40% per annum (Based on the current interest rate that the Company grants
	loans to its affiliates which has a lower interest rate than the average loan
	interest rate when compared to financial institution.)
Maturity	: 10 years (Including Grace Period 3 years)
Other Conditions	: None
Collateral	: None
Objectives	: To be used for capital expenditure and working capital of BGE

4.) Total value and basis for determination of the total transaction value:

Such transaction is subject to the related parties transaction relating receipt of financial assistance of a subsidiary and the transaction size is 0.079% which is more than 0.03% but less than 3% of the net tangible assets value based on the consolidated financial statements as of March 31st, 2022 which was reviewed by the auditor and combining with all the related parties transaction occurred during the preceding 6 months, the transaction size is equal to 0.079%, which is considered as a medium transaction. Therefore, the Company must comply with the Rules on Related Parties Transaction. Such transaction requires an approval of the Board of

Directors and disclosure of the information of the transaction to The Stock Exchange of Thailand.

Thus, the calculation of the transaction size is based on the consolidated financial statements as of March

31st, 2022 which was reviewed by the auditor. The calculation are as follows:

Mr. Anant Tangtongwechakit and Mr. Sarit Tangtrongwechakij (Loaner) are the directors, executives, and shareholders of BRR and shareholders and directors of BGE as detailed below:

7.) Opinion of the Board of Directors on entering into the connected transaction:

The Board of Directors' Meeting has resolved to approve the entry into such transaction and gave opinion that this related parties transaction is reasonable and beneficial to the subsidiary due to financial liquidity and supporting its business expansion plan.

In addition, the interest rate of this related parties transaction loan is in reference with the current interest rate that the Company grants loans to its affiliates, compared with general interest rate. Other loan covenants are more flexible comparing to financial institutions such as no collateral, longer loan term than financial institutions, no D/E ratio retention conditions and no other covenants.
