Blackrock Gold Corp. (TSXV:BRC) announced a a non-brokered private placement of up to 7,500,000 units at a price of CAD 0.20 per unit for gross proceeds of up to CAD 1,500,000 on January 10, 2020. Each unit is comprised of one common share and one-half of one share purchase warrant.

Each warrant will entitle the holder to acquire one additional common share in the capital of the company at a price of CAD 0.30 per share for a period of two years from the date of closing. The company may pay finder's fees on a portion of the transaction of up to 6% in cash and, for subscriptions exceeding CAD 250,000 in the aggregate or from institutional investors, finder's warrants equal to 4% of such units placed by the finder, exercisable for a two-year term at a price of CAD 0.30 per common share. The transaction is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSX Venture Exchange.

All the securities issued in the transaction will have a hold period of four months and one day from the closing.
