David J. Lee, Member of the Board of Directors Informs Benson Hill, Inc. of His Decision Not to Stand for Re-Election

On May 31, 2024, David J. Lee notified Benson Hill, Inc. of his decision not to stand for re-election to the Board of Directors of the Company (the ?Board?) at the Company?s 2024 Annual Meeting of Stockholders (the ?2024 Annual Meeting?). Mr. Lee will continue to serve as a director of the Company until the expiration of his current term at the 2024 Annual Meeting. Mr. Lee?s decision not to stand for re-election is due to over boarding concerns under proxy advisor and other institutional investor policies, and not because of any disagreement with the Company on any matter relating to the Company?s operations, policies, or practices.

Mr. Lee serves as Chief Operating Officer, Chief Financial Officer and a member of the board of directors of WEBTOON Entertainment Inc., which has publicly announced its intention to conduct an initial public offering.

Benson Hill, Inc. is an ag-tech company. The Company offers CropOS, which is a product design and development platform that uses predictive breeding and other advanced tools like CRISPR gene editing technology. The Company is engaged in the sale of soybean grain, soybean oil, soybean meal, soybean flakes and soybean flour and texturized flour, sales of processed yellow peas and sales of seed, as well as technology licensing fees and royalties.
