The board of directors of the Company was notified by Mr. Lin Yiming (Mr. Lin), a non-executive director of the Company, that he was convicted of a criminal offence of acceptance of bribes by a non-state functionary in the People's Republic of China (the PRC). According to a judgement made by the People's Court of Changping District, Beijing Municipality of the PRC in September 2019, Mr. Lin was found to have accepted bribes as a non-state functionary in the PRC in contravention of Article 163(1) of the Criminal Law of the PRC. Further, it was stated in the judgement that Mr. Lin pleaded guilty to the charge and was convicted with a determinate sentence of nine months (the "Conviction"). To the best knowledge, information and belief of the Board, the Conviction relates to alleged conduct of Mr. Lin in his personal capacity and does not relate to the affairs of the Company or its subsidiaries and will not have any impact on the Company or its subsidiaries. In view of the above, Mr. Lin has tendered his resignation as a non-executive director of the Company and a member of the audit committee of the Company, all with effect from 11 March 2020. Mr. Lin has confirmed that he has no disagreement with the Board and, save as disclosed above, there is no matter relating to his resignation that needs to be brought to the attention of the shareholders of the Company and the Stock Exchange.
