Conditional appointment of members of the Management Board of Bank BPH S.A.

The Management Board of Bank BPH S.A. ('Bank BPH') announces that on 28 September 2016, in connection with the conditional resignation of certain members of the Management Board of the Bank BPH, of which the Bank BPH informed in the current report no. 33/2016 dated 16 August 2016, the Supervisory Board of the Bank BPH appointed Mrs Monika Godzińska, the current Executive Director of the Accountancy and Reporting Department and Mrs Małgorzata Romaniuk, the current Executive Director of the Business Model Transformation, as the Deputy Presidents of the Management Board of the Bank BPH. The appointments shall become effective upon the registration in the Register of Business Entities of the increase of the share capital of Alior Bank S.A. as a result of the demerger of Bank BPH pursuant to Article 529, §1.4 and subsequent of the Commercial Companies Code.

The conditionally appointed members of the Management Board of the Bank BPH do not perform any activities competitive to the Bank BPH, as well as do not participate in competitive companies as partner of partnerships, personal or member of capital companies or other competing legal person.

The conditionally appointed members of the Management Board of the Bank BPH are not entered into the register of Insolvent Debtors maintained pursuant to the act on the National Court Register.
