Conclusion of Datastock Acquisition
B3 S.A. - Brasil, Bolsa, Balcão ("Company" or "B3") refers to theNotice to the Market dated October 13th, 2022, to inform that it has concluded on today's date, after meeting all the precedent conditions, the acquisition of all the shares representing the capital stock of Datastock Tecnologia e Serviços Ltda. ("Datastock"), a technology company specialized in managing the integration of the inventory of new and used vehicles dealerships.
The total amount to be paid for the acquisition of Datastock is up to R$80 million, of which approximately R$50 million in cash on the closing date of the transaction, and up to R$30 million in earn-out within 5 years from that date, subject to the achievement of certain goals.
The Company reiterates that the acquisition of Datastock is part of B3's strategy in the vehicle, financing, and data & analytics business, expanding its operations in the value chain of this segment, in addition to increasing the mix and potential of data & analytics solutions.
