Date on which the terms and conditions of the repair offering were announced: 20 January 2020 Last day including right: 17 January 2020 Ex-date: 20 January 2020 Record date: 21 January 2020 Date of approval: Subject to approval by an extraordinary general meeting, expected to be held on 12 February 2020 Maximum number of new shares: 25,000,000 Tradable subscription rights: Eligible shareholders will be granted tradable subscription rights, currently estimated to be approximately 2 subscription rights per share held as of the Record Date Subscription price: NOK 1.20 Other information: The subsequent repair offering (the 'Repair Offering') is contemplated to be made in connection with a private placement of NOK 50,000,000 (the 'Private Placement') and will be directed to shareholders of the Company as of close of trading on 17 January 2020, as recorded in the VPS on 21 January 2020, who were not allocated shares in the Private Placement, and who are not resident in a jurisdiction where such offering would be unlawful, or would (in jurisdictions other than Norway) require any prospectus filling, registration or similar action ('Eligible Shareholders'). Eligible Shareholders will receive subscription rights. The subscription rights will be listed on the Oslo Stock Exchange and be tradable for parts of the subscription period. The subscription period under the Repair Offering will commence after the EGM and upon the Company having prepared an EEA prospectus to be approved by the Financial Supervisory Authority of Norway, currently expected to March / April 2020. The subscription of all new shares in the Repair Offering is guaranteed by the investors that participated in the Private Placement on a pro-rata basis based on its allocation of Offer Shares in the Private Placement. The subsequent repair offering is conditioned upon approval by an extraordinary general meeting in the Company, expected to be held on 12 February 2020.
