(Alliance News) - Arnoldo Mondadori Editore Spa announces Friday that it has finalized, through its subsidiary Mondadori Libri Spa, the acquisition of an additional 25 percent stake in ALI Srl, Agenzia Libraria International, active in book distribution.

The transaction, as a result of which the Mondadori Group increases to 75 percent its stake in ALI, which will therefore be subject to full consolidation as of January 1, 2023, takes place in execution of the agreements defined and communicated last May 11, 2022 at the time of the acquisition of an initial stake equal to 50 percent, effective earlier than the date originally scheduled for February 28, 2023, the company explained in a note.

The provisional price, paid entirely in cash, is about EUR9.5 million and was determined, as already disclosed to the market, on the basis of the average Ebitda 2021-2022 and the positive net financial position of the perimeter subject to the transaction, which was EUR17.8 million as of December 31, 2022.

The Mondadori Group also has the option to acquire the remaining 25 percent of ALI, at a price to be determined on the basis of average Ebitda 2023-2024, through put&call options exercisable by July 30, 2025.

Mondadori on Friday trades in the green by 0.7 percent at EUR1.86 per share.
