American Assets Trust, Inc. and American Assets Trust, L.P. Enter into First Amendment to Second Amended and Restated Credit Agreement

On January 9, 2019, American Assets Trust, Inc. and American Assets Trust, L.P. entered into the First Amendment to Second Amended and Restated Credit Agreement with the lenders from time to time party thereto, Bank of America, N.A., as Administrative Agent, and other entities named therein. Pursuant to the First Amendment, the maturity date of the outstanding $100 million term loan provided for under the Second Amendment and Restated Credit Agreement has been extended to January 9, 2021, subject to three, one-year extension options. Borrowings under the Second Amended and Restated Credit Agreement with respect to the $100 million Term Loan bear interest at floating rates equal to, at the Operating Partnership's option, either LIBOR, plus a spread which ranges from 1.20% to 1.70% based on the consolidated total leverage ratio of the Company and its consolidated subsidiaries, or a base rate equal to the of (a) the prime rate, (b) the federal funds rate plus 50 bps or (c) the Eurodollar rate plus 100 bps, in each case plus a spread which ranges from 0.20% to 0.70% based on the consolidated total leverage ratio of the Company and its consolidated subsidiaries. The foregoing rates are intended to be more favorable than previously contained in the Second Amended and Restated Credit Agreement (prior to entry into the First Amendment) with respect to the $100 million Term Loan. Additionally, the Operating Partnership may elect for borrowings to bear interest based on a ratings-based pricing grid as per the Operating Partnership's then-applicable investment grade debt ratings under the terms set forth in the Second Amended and Restated Credit Agreement. Prior to the closing of the First Amendment, the Operating Partnership entered into an interest rate swap agreement that is intended to fix the interest rate associated with the $100 million Term Loan at approximately 4.13% from January 9, 2019 through January 9, 2021, subject to adjustments based on the consolidated total leverage ratio of the Company and its consolidated subsidiaries.
