African Sun : Notice to Shareholders

(Incorporated in Zimbabwe on 2 July 1971 under Company Registration Number 643/71)

Announcement of the results of voting at the Extra General Meeting of the shareholders of African Sun Limited ("African Sun" or "the Company") held at 14.30hrs on Tuesday 28 March 2023 regarding the listing by introduction of African Sun on the Victoria Falls Stock Exchange ("VFEX").

The Company is expected to delist from the Zimbabwe Stock Exchange ("ZSE") on Thursday the 6th of April 2023, followed by its listing on the VFEX on Friday the 14th of April 2023.

Shareholders are advised that all resolutions put to the vote at the Extraordinary General Meeting of Shareholders of African Sun held on Tuesday 28 March 2023 were passed unanimously as tabulated below:

ORDINARY RESOLUTIONS	RESULT
1	Ordinary Resolution 1 To delist the Company's shares from the Main Board of the ZSE through voluntary termination of the listing on the ZSE in terms of section 11 of the ZSE Listing Requirements.	PASSED
2	Ordinary Resolution 2 To list the Company's ordinary shares on the VFEX in accordance with the VFEX Listing Requirements.	PASSED
3	Ordinary Resolution 3 To authorise the directors to do any and all such things as may be necessary to give effect to the above resolutions.	PASSED
