MATERIAL FACT

AES TIETÊ ENERGIA S.A. ("AES TIETÊ" or "Company") (B3: TIET11, TIET3, TIET4), pursuant to article 157, paragraph 4, of Law 6.404, as of December 15, 1976, and its amendments, and Instruction 358 of the Brazilian Securities and Exchange Commission (CVM), as of January 3, 2002, and its amendments, hereby informs its shareholders and the market in general, in addition to the Material Fact published on August 1, 2017, that on the date hereof, has concluded the acquisition of the totality of shares ("Operation") representing the share capital of three specific purpose entities ("SPE"), which hold authorizations for the construction of photovoltaic power plants ("Solar Complex" or "Boa Hora"), having as sellers the following companies: EUROPEAN ENERGY A/S, EÓLICA TECNOLOGIA LTDA AND SOLAR TECNOLOGIA LTDA.

The total amount of the acquisition was R$ 75.0 million ("Acquisition Price"), subject to usual adjustments in operations of this nature, which the Parties expect to occur 45 days after the Operation closing date, paid with funds available in cash.

The Solar Complex was awarded at the 8th Reserve Energy Auction ("LER") held on November 13th, 2015, with energy contracted for 20 (twenty) years at R$ 291.75/MWh, with the beginning of commercial operation expected on November 1st, 2018, with a total projected capacity of 91 MWp (75 MWca).
