JKS Resources Inc (CNSX:YMC) signed a non-binding letter of intent to acquire LAPIE MINING INC from 18526 Yukon Inc for CAD 10.5 million on December 6, 2023. JKS Resources Inc entered into a definitive agreement to acquire LAPIE MINING INC from 18526 Yukon Inc on January 12, 2024. As a part of consideration CAD 2 million was paid in cash in respect of 0.210737 million of LAPIE MINING INC Shares and issue of 25 million common shares in respect to 0.790263 million of LAPIE MINING INC Shares. Lapie will retain a 2.5% Net Smelter Return (NSR) royalty on each property. The transaction is subject to approval by regulatory board / committee, board of directors and approval of offer by JKS Resources shareholders. The expected completion of the transaction is March 26, 2024. Cassels Brock & Blackwell LLP acted as legal advisor to JKS Resources Inc.
As of May 17, 2024 the transaction was expected to close on May 30, 2024.





JKS Resources Inc (CNSX:YMC) completed the acquisition of LAPIE MINING INC from 18526 Yukon Inc on May 30, 2024. Concurrently with the closing of the Transaction (the ?Closing?) JKS Resources changed its name to Yukon Metals Corp. Trading of the Common Shares will resume under the new name and under the new ticker symbol ?YMC? as of market open on June 3, 2024. The new CUSIP is 98849N108 and the new ISIN is CA98849N1087. The board of directors of JKS was reconstituted to consist of Rory Quinn, Patrick Burke, Dr. Darryl Clark, Jim Coates and Daniel Vickerman, with Mr. Burke as Chair. Rory Quinn has been appointed President and Chief Executive Officer of the Company and Denitsa Doncheva has been appointed Chief Financial Officer and Corporate Secretary of the Company.
