10/2018: Appointing of the President of the Management Board and the members of the Supervisory Board

The Management Board of Wawel S.A. announces the following information:

I. On June 20, 2018 the Ordinary General Meeting of Shareholders of Wawel S.A. Has elected Mr Dariusz Orłowski for the position of the President of the Management Board.

Dariusz Orłowski is a graduate of Economic Academy in Cracow, the Faculty of Organization and Management, which he graduated in 1995. In 1994 he took the job in PKO BP District Department Cracow in the team for difficult credits. Within 1995-1998 was employed in F.H. 'Krak-Chemia' S.A. and held the following positions: specialist of finance, finance department manager, deputy chief accountant, financial director and general director. At the same time within 1995-1997 he held the function of the deputy president of the lease subsidiary of F.H. 'KrakChemia' S.A. And then he was employed in Gellwe as the financial director. From 01.07.1999 he has been employing in Wawel S.A. as the Director of Finances. On 15.07.1999 was appointed by the decision of the Supervisory Board of Wawel S.A. for the position of the Member of the Management Board- Director of Finances. On 27.07.2000 the Supervisory Board approved the changes in the chart-flow of the Company and as a result of which he held the position of the Member of the Management Board the Director of Operations. From 9^th February 2001, after the decision taken by EGMS he has held the position of the President of the Management Board of Wawel S.A. Since September 2007 - the Member of Superviosry Board of Public Joint Stock Company 'Productive - Commercial Confectionary 'Lasoshchi' with is seat in Ivano - Frankivsk (the Ukraine). Member of Supervisory Board of FFiL ŚNIEŻKA S.A.

He does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Mr. Dariusz Orłowski does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.

II. On June 20, 2018 the Ordinary General Meeting of Shareholders of Wawel S.A. elected the Supervisory Board consisting of:

1. Hermann Opferkuch

He graduated the economic studies in Heilbronn achieving the diploma in management in 1984. To 1990 he worked in the confectionery factory belonging to the family. In the same time he underwent the practice in the financial institutions and other confectionery plants. In 1990 after his father death he took up the management. Now the group of companies, where Mr. H. Opferkuch is one of the main shareholders consists of the companies dealing with manufacture and sales of confectionery products and trade and processing of the cocoa seed (including Hosta International AG seated in Munich, Switzerland), but the activity of the mentioned companies is not competitive towards Wawel S.A.

Since June 2002 - the Member of Superviosry Board of Wawel; since October 2009 - the Chairman of Superviosry Board of Wawel

Since September 2007 the Chairman of Superviosry Board of Public Joint Stock Company 'Productive - Commercial Confectionary 'Lasoshchi' with is seat in Ivano - Frankivsk (the Ukraine).

He does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Mr. Hermann Opferkuch does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.

2. Nicole Opferkuch

She has the secondary education. At present she is the assistant of the Management Board of Hosta International AG seated in Munich, i.e. the company belonged to the group where one of the main shareholders is Mr. Hermann Opferkuch. Earlier she worked in the commercial companies.

From June 2003 to November 2003 - the Member of Superviosry Board of Wawel and after that since November 2006 - the Member of Superviosry Board of Wawel

Since September 2007 the Memeber of Superviosry Board of Public Joint Stock Company 'Productive - Commercial Confectionary 'Lasoshchi' with is seat in Ivano - Frankivsk (the Ukraine).

She does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Mrs. Nicole Richter does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.

3. Christoph Koehnlein

He graduated the management in business studies in Fachhochschule für Finanzen. To 1982 he worked in the state financial administration Baden-Württemberg. In 1982 he started the own business activity in the field of tax counseling. In 1988 he became auditor and till now he has conducted his own business activity in this field.

Since September 2009 - the Member of Superviosry Board of Wawel, the Chairman of Audit Committee.

He does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Mr. Christoph Köhnlein does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.

4. Laura Weiss

She graduatedfrom high school in 2010.
After that she started to study law at the University of Wuerzburg. Ms Weissgraduated her law school/Studium in 2016. Since April 2016, she's doing her clerkship at the district court in Ellwangen.

He does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Ms Laura Weiss does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.

5. Paweł Bałaga

MSc. Eng. mechanic, he gradudated Technical University of Cracow. Within 1988-1997 he worked in Wawel S.A. as the specialist of investments. Within 1997-1998 he worked in Ahold Polska Sp. z o.o. as the Project Manager. Since December 1998 to half of 2007 he worked in Hyva Polska Sp. z o.o. where he held a position of the Director of Purchases and Logistics. From 1999 to 2012 he was a member of the Supervisory Board of Wawel S.A., helding a position of the Secretary of the Supervisory Board, but within the period from July 2000 to June 2002 he held a position of the Deputy Chairman of the Supervisory Board.

He does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Mr. Paweł Bałaga does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.

6. Eugeniusz Małek

He graduaded the Faculty of Law and Administration of the Jagiellonian University in 1982. Within 1986 to 1996 he was employed in Wawel S.A. and from 1990 to 1996 he held a position of the Technical Supply Manager. Within 1999 to October 2006 he was employed in Wawel S.A. on the position of the Purchase Manager, within November 2006 to February 2015 he was employed on the position of the Development Division Manager and from February 2015 he held a position of Employee Division Manager. Within 1992-1994 he was the chairman of the SB of first term of office. From 1997 to 2012 he is a member of the Supervisory Board, but from the June 1999 to June 2009 he held a position of the Chairman of the Supervisory Board, and from June 2009 he held a position of the Vice Chairman of the Supervisory Board. Since October 2010 - the Member of Superviosry Board of Public Joint Stock Company 'Productive - Commercial Confectionary 'Lasoshchi' with is seat in Ivano - Frankivsk (the Ukraine).

He does not conduct the competitive activity towards Wawel S.A., does not participate in the competitive company as the partner of civil company, partnership or as the member of the body of the limited company and any other competitive legal person as its member. Mr. Eugeniusz Małek does not appear in the Polish Registry of Insolvent Debtors conducted under the Act on National Court Register.
