           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On November 4, 2022, the Board of Directors of Verizon Communications Inc. (Verizon) elected Vittorio Colao, former Italian Minister for Innovation, Digital Transition and Space, and former Chief Executive of Vodafone Group Plc, as a director, and appointed him to the Corporate Governance and Policy Committee and the Finance Committee, effective November 4, 2022. As a director, Mr. Colao will participate in the compensation program applicable to all non-employee directors, which is described under the heading "Non-Employee Director Compensation" in Verizon's definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 28, 2022, except that Mr. Colao will not receive a one-time grant of 3,000 Verizon share equivalents for new non-employee directors, because he previously received such a grant in 2019 in connection with his prior service on the Verizon Board.
