(b) Director Retirement.

On January 24, 2023, Matthew A. Shaver, MD notified Uwharrie Capital Corp (the "Registrant") that he will not stand for re-election as a director at the Registrant's 2023 annual meeting of shareholders. Dr. Shaver confirmed that his decision was not the result of any disagreement or dispute with the Registrant.

On January 25, 2023, Mr. Randy T. Russell notified Uwharrie Capital Corp that he will not stand for re-election as a director at the Registrant's 2023 annual meeting of shareholders. Mr. Russell confirmed that his decision was not the result of any disagreement or dispute with the Registrant.
