Item 1.02. Termination of a Material Definitive Agreement.

As previously reported, on February 25, 2022, Universal Security Instruments, Inc, a Maryland corporation ("USI"), entered into an Agreement and Plan of Merger (the "Merger Agreement") by and among USI, a wholly owned subsidiary of USI and Infinite Reality, Inc., a Delaware corporation ("Infinite Reality").

Pursuant to the terms of the Merger Agreement, the Merger Agreement is terminatable by either party in the event that the merger which is the subject of the Merger Agreement was not effective by November 21, 2022. On December 12, 2022, Infinite Reality notified USI that Infinite Reality is terminating the Merger Agreement effective immediately.
