UNIEURO S.P.A.: NOMINATO L'ADVISOR AI FINI DELLA EVENTUALE

FORMAZIONE DELLA LISTA DEL CDA USCENTE

Forlì, 23 febbraio 2022 - Unieuro S.p.A. (Euronext STAR Milan: UNIR), il leader nella distribuzione di elettronica di consumo ed elettrodomestici in Italia, facendo seguito a quanto già comunicato al mercato il 13 gennaio scorso, informa che il Consiglio di Amministrazione, riunitosi oggi sotto la presidenza di Stefano Meloni, ha deliberato all'unanimità dei propri membri e previo parere favorevole del Comitato Remunerazione e Nomine, di nominare Management Search S.r.l. ("Management Search") quale società di consulenza per supportare Unieuro nel processo di formazione dell'eventuale lista.

La nomina si inquadra nel percorso avviato ai fini dell'eventuale presentazione della lista da parte del Consiglio di Amministrazione uscente per il rinnovo dell'organo amministrativo in vista della prossima Assemblea degli Azionisti ed è stato affidato dal medesimo Consiglio al coordinamento del Presidente e dell'Amministratore Delegato, che aggiorneranno l'organo amministrativo circa gli esiti delle consultazioni con i principali stakeholders della Società.

A seguito dell'attività di board evaluation svolta, il suddetto percorso ha già condotto alla formulazione degli orientamenti sulla dimensione e composizione qualitativa e quantitativa ottimale del nuovo organo (come pubblicati in data 13 gennaio 2022 e consultabili all'indirizzo sul sito unieurospa.com nella sezione Corporate Governance / Assemblee degli Azionisti / Assemblea 2022, gli "Orientamenti").

Management Search avrà il compito di assistere nelle attività istruttorie per l'individuazione di possibili candidati amministratori, valutandone la rispondenza agli Orientamenti e la disponibilità all'inserimento nella lista, la cui formazione sarà definita dal Presidente, avuto riguardo al contributo del Comitato Remunerazioni e Nomine. Tale lista sarà in ultima istanza sottoposta all'approvazione del Consiglio, previo parere del Comitato Remunerazioni e Nomine.

In accoglimento dell'invito espresso dalla CONSOB con il recente richiamo di attenzione finalizzato ad offrire agli Azionisti un maggior termine per la valutazione delle candidature proposte, la lista, se approvata dal Consiglio, sarà depositata entro il trentesimo giorno antecedente la data dell'Assemblea e, quindi, cinque giorni prima rispetto ai termini ordinari di legge per il deposito delle liste.

UNIEURO S.P.A.: ADVISOR APPOINTED FOR THE POSSIBLE FORMATION OF

THE OUTGOING BOARD OF DIRECTORS' SLATE

Forlì, 23 February 2022 - Unieuro S.p.A. (Euronext STAR Milan: UNIR), the leading distributor of consumer electronics and household appliances in Italy, following the press release of 13 January 2022, informs that the Board of Directors, which met today under the chairmanship of Stefano Meloni, resolved unanimously, after obtaining the favorable opinion from the Remuneration and Appointments Committee, to appoint Management Search S.r.l. ("Management Search") as advisor to support Unieuro in the process of forming a possible slate.

The appointment is part of the process launched for the possible presentation of a slate by the outgoing Board of Directors for the renewal of the administrative body in view of the next Shareholders' Meeting, the coordination of which has been entrusted by the Board to the Chairman and the Chief Executive Officer, who will update the administrative body on the results of the consultations with the main stakeholders of the Company.

Following the board evaluation, the aforementioned process has already led to the formulation of the guidelines on the optimal size and qualitative and quantitative composition of the new board (as published on 13 January 2022 and available on the website unieurospa.com, in the section Corporate Governance / Shareholders' Meetings / 2022 Shareholders' Meeting, the "Guidelines").

Management Search's task will be to assist in performing the preliminary activities aimed at identifying possible candidates, by assessing their compliance with the Guidelines and their availability to be included in the slate, whose creation will be defined by the Chairman, taking into account the input of the Remuneration and Appointments Committee. This slate will be finally submitted to the Board for approval, after the obtaining of an opinion from the Remuneration and Appointments Committee.

In acceptance of CONSOB's recent call for attention, aimed at providing Shareholders with more time to assess the proposed candidates, the slate - if approved by the Board - will be filed within the thirtieth day prior to the date of the Shareholders' Meeting and, therefore, five days before the ordinary deadline provided by the law for the filing of the slates.
