In the event, the proposed profit distribution is affected by
the issued convertible corporate bonds are converted into ordinary shares,
a buyback of shares for transferring treasury shares to employees,
nullifing treasury stocks or capital injection by cash, it is proposed that
the Chairman be authorized to adjust the cash and stock to be distributed to
each share based on the number of actual outstanding shares on the record
date for distribution.
