Ref: Intimation under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations")

Sub: Intimation of change in the Chief Financial Officer (KMP) of the Company

Pursuant to the Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that a meeting of Board of Directors of the Company was held today, i.e. December 15, 2022, wherein the Board has:

1. Took on record the resignation of Mr. Sunil Chellani from the position of Chief Financial Officer (KMP) of the Company with effect from close of business hours on December 14, 2022 due to other engagements.
   Subsequently, Pursuant to the Regulation 30(5) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Mr. Sunil Chellani ceased to be a Key Managerial Person for determining the materiality of any event or transaction for making the required disclosures to the Stock Exchanges.
2. Approved the appointment of Mr. Sushant Dalmia as the Chief Financial Officer (KMP) of the Company with effect from December 15, 2022.
   Accordingly, Pursuant to the Regulation 30(5) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Mr. Sushant Dalmia is authorised for determining the materiality of any event or transaction for making the required disclosures to the Stock Exchanges.

We further inform you that, pursuant to provisions of SEBI (Prohibition of Insider Trading) Regulations, 2015 as amended from time to time and Company's code of internal procedures and conduct for regulating, monitoring and reporting of trading by designated persons, the Trading window for dealing in securities of the Company has been closed from December 13, 2022 till 48 hours after conclusion of the Board Meeting (both days inclusive) for the aforesaid purpose.

Mr. Sushant Dalmia has 18 years of experience in finance, strategy, M&A, fund raising and operations across tech platform, consumer electronics, healthcare, and education sectors.

He played a pivotal role in revenue growth and margin expansion at his previous organisations. He has hands-on experience in domestic and international acquisitions. He was previously associated with renowned companies such as PwC, Citigroup, Angel One, IHH healthcare, boAt and MakeO (Toothsi and Skinnsi).

On qualification front, he is a Chartered Accountant (CA) from ICAI and Chartered Financial Analyst (CFA) from the CFA Institute (US). He has also done certification courses from the Wharton School on Artificial Intelligence and from ACCA (UK) on IFRS.
