Software Service, Inc. (JASDAQ:3733) signed a basic agreement to acquire the remaining 81.75% stake in Corporation OMC from Takebishi Corporation, Yasuko Suzuki, Norio Makioka, Ryomi Takemura and others on May 19, 2014. Yasuko Suzuki is selling 26%, Norio Makioka is selling 25.5% stake and Ryomi Takemura is selling 10.25% stake in Corporation OMC. Post transaction, Corporation OMC will be dissolved. For the period ending September 2013, Corporation OMC reported total assets of ¥1.19 billion, net assets of ¥946 million, sales of ¥922 million, operating profit of ¥73 million and net profit of ¥43 million.
The transaction is subject to general shareholders' meeting for the approval of the merger agreement of OMC Co., Ltd. The transaction is expected to be closed by November 1, 2014. Software Service, Inc. (JASDAQ:3733) signed a merger and absorption agreement to acquire the remaining 81.75% stake in Corporation OMC from Takebishi Corporation, Yasuko Suzuki, Norio Makioka, Ryomi Takemura and others for approximately ¥360 million on September 24, 2014. Software Service will allocate 20.196 of Software Service Shares for every OMC share held by its shareholders on the day before the merger date. In addition, the held shares of OMC shareholders as of current time is 5,100 shares, and Software Service will allocate 0.1 million shares to the said shareholders. The shareholder meeting of Corporation OMC is scheduled on September 25, 2014.
Software Service, Inc. agreed to acquire the remaining 81.75% stake in Corporation OMC from Takebishi Corporation, Yasuko Suzuki, Norio Makioka, Ryomi Takemura and others for approximately ¥370 million on October 20, 2014. Software Service will allocate 17.871 of Software Service Shares for every OMC share. The tentative date of merger is November 1, 2014.
