Surfilter Network Technology Co., Ltd. (SZSE:300311) agreed to acquire Shenzhen Paojiao Sizhi Information Technology Co., Ltd. from Ganzhou Yifeng Foundation network Technology Partnership Enterprise (LP), Ganzhou Liding Xinhe Information Technology Partnership Enterprise (LP), Shenzhen Songhe Innovation No. 1 Partnership Enterprise (LP) and Shenzhen Zhongmei Venture Capital Silicon Valley Fund Management Enterprise (LP) for CNY 410 million on December 23, 2016. Under the terms of the transaction, Ganzhou Yifeng Foundation network Technology Partnership Enterprise (LP) will sale 52.25% stake, Ganzhou Liding Xinhe Information Technology Partnership Enterprise (LP) will sale 38% stake, Shenzhen Songhe Innovation No. 1 Partnership Enterprise (LP) will sale 5% stake and Shenzhen Zhongmei Venture Capital Silicon Valley Fund Management Enterprise (LP) will sale 4.74% stake. The consideration will be financed by use of self-owned funds. After the completion of the transaction, Shenzhen Paojiao Sizhi Information Technology Co., Ltd. will become wholly owned subsidiary of Surfilter Network Technology Co., Ltd. During the year ended December 2015, Shenzhen Paojiao Sizhi Information Technology Co., Ltd. reported revenues of CNY 57.7 million, total assets of CNY 46.5 million, total shareholders’ equity of CNY 33.17 million, operating profit of CNY 3.1 million and net profit of CNY 2.6 million. The transaction is subject to be approved by the shareholders of Surfilter Network Technology Co., Ltd. This transaction does not need approvals from the related regulatory authorities. As on December 23, 2016, transaction was approved by the Surfilter Network Technology Co., Ltd. directorate meeting and shareholders.
