According to the resolution of the Board of Directors' Meeting No. 7/2022 of Super Energy Corporation Public Company Limited ("The Company" or "SUPER") held on August 9, 2022, the Meeting has resolved to approve the signing of the additional share purchase agreement in Keyman Wind Power Company Limited (KWP) by approving Super Wind Energy Co., Ltd. (SWE), a subsidiary of the Company, to sign a share purchase agreement with 1 existing shareholders in KWP, totaling 4,250 shares, representing 42.50% of the total shares and pay the advice fee of 100 million baht. KWP holds shares in Global Green Energy Company Limited (GGE) in the proportion of 99.98% of the total shares. The total transaction value is not more than 889.11 million baht.

KWP engages in the business of consulting, giving advice and investing in renewable energy businesses. which holds shares in GGE and GGE is an electricity supplier under the Small Power Producer (SPP) project, using wind energy for the HBF1 project (the HBF1 project), which has an electricity supply capacity of 45.0 megawatts. SWE intends to invest in the HBF1 project through the acquisition of shares in KWP. At present, GGE is awaiting the power purchase acceptance letter issued by Electricity Generating Authority of Thailand (EGAT).

The HBF1 project is located in the area of National Reserved Forests, Dong Kasang Forest and Lam Phaya Klang Forest. which is located at Huai Bong Subdistrict, Dan Khun Thot District Nakhon Ratchasima Province has an area of 46 rai and 240.125 rai, respectively, with the HBF1 project having a letter of permission to use or live within the National Reserved Forest (Por. Sor. 23) for the wind farm business until March 2035 and 31 July 2036, respectively.

The Transaction is considered as the acquisition of assets as prescribed in Notification of the Capital Market Supervisory Board No. TorChor 20/2551 re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets and the Notification of the Board of Governors of the Securities Exchange of Thailand re: Disclosure of Information and Other Acts of Listed Companies Concerning the Acquisition and Disposition of Assets, 2004 (Including additional amendments) ("Notification of Acquisition and Disposal of Assets").

The calculation of the transaction size according to the announcement of the acquisition or disposal of assets. The maximum value of the transaction is 1.07% based on the total value of consideration. When combined with acquisition of assets of the same class within the past 6 months before the Company's Board of Directors approved the transaction, the total transaction size valued at 2.12% using Net Tangible Asset basis from the consolidated financial statements of the Company ending June 30, 2022, which is the size of less than 15%. The aforesaid transaction is not classified as a transaction under the Notification of the Capital Market Supervisory Board No. TorChor 20/2551 re:

Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets and it is not a connected transaction.

However, when combined with the transactions approved by the Board of Directors on December 15, 2021, SWE holds 100% of KWP's shares. in accordance with the Notification of the Board of Governors of the Stock Exchange of Thailand Re: Rules, Conditions and Procedures Governing the Disclosure of Information and Other Acts of a Listed Company B.E. 2560 (2017). The Transaction is an acquisition of investment in KWP, which causes KWP and GGE has the status of being a subsidiary of SUPER, the listed Company is thus required to disclose such information to the Stock Exchange of Thailand as detailed above.
