Ⅳ．Organizational Changes

１） Reformation of Corporate Governance Structure

Managerial reforms have been promoted as one of the core parts in the mid-term management plan, BBBO2017. To promote further the reforms, the following changes will be made.

1. To enhance the board's supervisory functions from the perspective of the separation of supervisory and executive operations, the number of outside directors will be increased from four to five, and the number of internal directors will be decreased from ten to six.

2. The president will be clearly described as a member of executive officers, and the official title of president will be "President and Chief Executive Officer".

   The chairman's role as both chairman of the board and a non-executive officer will remain unchanged. The vice chairman's role will be defined as a non-board member.

3. The role of CIO (Chief Information Officer), responsible for the total management of information-related matters, will be newly established.

A and B will become effective upon approval by the Ordinary General Meeting of Shareholders in June 2017. C will become effective on April 1, 2017.
