Barueri, March 24, 2021 - Smiles Fidelidade S.A. ("Smiles" or "Company") (B3: SMLS3), pursuant to the provisions of Normative Instruction No. 358, of January 3rd, 2002, of the Brazilian Securities and Exchange Commission, as amended, hereby informs its shareholders and the market in general that, in its general shareholders' meeting that took place today, the majority of the shareholders entitled to the Company's free float shares approved all the terms and conditions of the corporate reorganization as set forth in the Material Fact disclosed on February 12, 2021, as amended by the material facts disclosed in the date herein, including the delisting of Smiles from Novo Mercado.

Smiles will keep its shareholders and the market informed about the corporate reorganization.
