SKC Co., Ltd. (KOSE:A011790) agreed to acquire remaining 7.9% stake in SKC solmics Co., Ltd. (KOSDAQ:A057500) from a group of shareholders for KRW 29.5 billion on August 12, 2020. As on August 14, 2020, SKC Co., Ltd. and SKC solmics Co., Ltd. entered into a share transfer agreement for the deal. As per terms of transaction, for each share of SKC Solmics, 0.0688707 shares of SKC Co., Ltd. will be exchanged. Pre deal, SKC Co., Ltd. held 92.1% stake and post completion, it will hold 100% stake in SKC solmics Co., Ltd. In a related transaction, SK Corporation made a tender offer to acquire remaining 42.26% stake in SKC solmics Co., Ltd. Post completion, SKC solmics Co., Ltd. will become wholly owned subsidiary of SKC Co., Ltd. The transaction is subject to shareholders' approval of SKC Solmics. The Board of Directors of SKC solmics resolved the transaction on August 12, 2020 The deal is expected to be completed on December 8, 2020.
