INCORPORATION OF A SUBSIDIARY

The Board of Directors ("Board") of SIIC Environment Holdings Ltd. ("Company" and with its subsidiaries, collectively the "Group") wishes to announce that Longjiang Environmental

Protection Group Co., Ltd., an indirect 57.96% owned subsidiary of the Company, had incorporated a wholly-owned subsidiary. The details of the subsidiary are as follows:

The incorporation of Harbin City Lancheng Longjiang Environmental Protection Water Co., Ltd. is funded through internal resources and is not expected to have any material impact on the net tangible assets and earnings per share of the Company for the financial year ending 31 December 2018.

None of the Directors, controlling shareholders or substantial shareholders of the Company has any interest, direct or indirect, in the incorporation of Harbin City Lancheng Longjiang Environmental Protection Water Co., Ltd., save for their shareholdings in the Company.
