As per set in Section 82 of the Act 24/1988, of the Stock Exchange, GAMESA announces the following statement:
In the meeting of the Board of Directors of Gamesa
Corporación Tecnológica, S.A. held today, December
14, 2011, after accepting the resignation of Mr. Pedro
Velasco Gómez, as Member of the Board of Directors and of the
Audit and Compliance Committee, the Board of Directors, with
the previous report of the Appointment and Remuneration
Committee, has resolved, by cooptation, the appointment of
Ms. Sonsoles Rubio Reinoso, as Member of the Board of
Directors and as Member of the Audit and Compliance
Committee, classified as "External Proprietary Director" and
for the period of time pending from the mandate of the
substituted.
The Board of Directors thanks Mr. Velasco for his dedication
while he has been a member of it.
Ms. Sonsoles Rubio holds a degree in Economics and Business
from the Universidad Autónoma of Madrid. She completed her
training as post graduated at ICEA, IESE and Centro de
Estudios Financieros. She holds the position of
Internal Audit Manager of Renewable Business at
Iberdrola.
In the same meeting, Iberdrola, S.A., Member of the Board of
Directors of Gamesa Corporación Tecnológica, S.A., has
communicated to this body the appointment of Mr. Agustín
Delgado Martín as its representative. Mr. Delgado replaces
the former representative, Mr. José Miguel Alcolea
Cantos.
The Board of Directors also thanks Mr. Alcolea for his
dedication to the Company while he has been a member of
it.
As per set in article 24.2 of the Regulations of the Board of
Directors, the Appointment and Remuneration Committee has
issued previous favourable report, since the requirements for
performing the duties set forth in those Regulations are
carried out by Mr. Delgado.
Mr. Agustin Delgado holds an Industrial Engineering Degree
from the Escuela Técnica Superior de Ingeniería
Industrial (ETSII) of the Universidad of
Comillas (ICAI). He holds a Doctorate in Industrial
Engineering from ETSII and UNED. He holds the position of
Director of Innovation, Environment and Quality at Iberdrola,
S.A.
