SiamEast Solutions Public Company Limited (the "Company") would like to inform you that, as the 2022 Annual General Meeting of Shareholders held on 29 April 2022, resolved to reduce the Company's registered capital by THB 1,005.50 from the registered capital of THB 312,000,000 to be THB 311,998,994.50 by canceling the authorized but unissued ordinary shares in the amount of 2,011 with a par value of THB 0.50 per share, which remained from the stock dividend allocation to shareholders on 14 May 2021 according to the resolution of the 2021 Annual General Meeting of Shareholders and resolved to the increase in the Company's registered capital of THB 15,599,949.50 from THB 311,998,994.50 to be THB 327,598,944 by issuing 31,199,899 newly issued ordinary shares at the par value of THB 0.50 per share to accommodate the dividends payments to the shareholders.
In this regard, the Company, therefore, wishes to inform you that the Company has already registered the reduction and the increase in the Company's registered capital, the amendment of the Company's Memorandum of Association, and the amendment of paid-up capital with the Department of Business Development, the Ministry of Commerce as the following details:
On 12 May 2022, the Company registered the reduction of the Company's registered capital from the registered capital of THB 312,000,000 to be THB 311,998,994.50 and the amendment of Clause
(Registered Capital) of the Company's Memorandum of Association to be in line with the reduction of the Company's registered capital.
On 17 May 2022, the Company registered the increase in the Company's registered capital from the registered capital of THB 311,998,994.50 to be THB 327,598,944 and the amendment of Clause
(Registered Capital) of the Company's Memorandum of Association to be in line with the increase in the Company's registered capital.
On 20 May 2022, the Company registered the paid-up capital increase after the stock dividend allocation to shareholders from paid-up capital of THB 311,998,994.50 to be THB 327,594,259.50.
