Shinwa Co., Ltd. (TSE:7607) signed a share transfer agreement to acquire 57.47% stake in Daishin.Inc Corporation from Misaki Oya, Tamaki Oyabu, Hiroshi Urano and others for ¥1.2 billion on January 21, 2019. As part of the deal, 0.02 million shares will be acquired for ¥50000 per share. Misaki Oya, Tamaki Oyabu, Hiroshi Urano and others will sell 0.01 million, 0.01 million, 0.002 million and 0.001 million shares respectively. In a related transaction, Shinwa Co., Ltd. signed a share exchange agreement to acquire remaining stake in Daishin.Inc from Misaki Oya, Tamaki Oyabu and Hiroshi Urano and others. After the completion of transactions, Daishin.Inc will operate as a wholly owned subsidiary of Shinwa Co., Ltd. Board of Shinwa Co., Ltd. resolved in favor of the deal and completion is expected on the same date.
