Certain Warrants of ShiftPixy, Inc. are subject to a Lock-Up Agreement Ending on 19-JUN-2024. These Warrants will be under lockup for 90 days starting from 21-MAR-2024 to 19-JUN-2024.

The executive officers and directors have agreed, subject to limited exceptions, not to directly or indirectly offer to sell, sell, pledge or otherwise transfer or dispose of any of shares of (or enter into any transaction or device that is designed to, or could be expected to, result in the transfer or disposition by any person at any time in the future of) the common stock, enter into any swap or other derivatives transaction that transfers to another, in whole or in part, any of the economic benefits or risks of ownership of shares of common stock, make any demand for or exercise any right or cause to be filed a registration statement, including any amendments thereto, with respect to the registration of any shares of common stock or securities convertible into or exercisable or exchangeable for common stock or any of other securities or publicly disclose the intention to do any of the foregoing, subject to customary exceptions, for a period of 90 days from the effective date of this registration statement, with respect to officers and directors, and 30 days from the closing date of this offering, with respect to us.

It functions as an employment administrative services (EAS) provider through its subsidiary, ReThink Human Capital Management, Inc., as well as a staffing provider through another of its subsidiaries, ShiftPixy Staffing, Inc (Staffing). These subsidiaries provide a range of services to its clients, such as administrative services and workersâ compensation administration.
