VOLUNTARY ANNOUNCEMENT

MATERIAL TENDER RESULT

This announcement is made by SH Group (Holdings) Limited (the "Company", together with its subsidiaries, the "Group") on a voluntary basis to keep the shareholders of the Company and potential investors informed of the latest business development of the Group.

The board (the "Board") of directors (the "Directors") of the Company is pleased to announce that Shun Hing E & M Engineering Limited ("SHEM"), an indirect wholly-owned subsidiary of the Company, has received a letter of nomination ("LON"), informing that SHEM has been awarded a nominated sub-contract as a nominated sub-contractor to the main contractor for the design, supply and installation of electrical and extra-low voltage ("ELV") services and SHEM has returned the confirmation acknowledgement of the LON in February 2021. Summary of the aforementioned nominated sub-contract is set out below:

Approximately HK$294 millionThe Board wishes to state that no forecast or prediction of the profits of the Group has been made with regard to the award of the aforementioned sub-contract and signing of the LON. Until the formal execution of the relevant contract, the LON shall constitute a binding agreement between SHEM and the main contractor.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the shares of the Company.
