Minutes of Extraordinary General Meeting on 7 June 2021

The Extraordinary General Meeting was held in accordance with the published agenda.

Point 2 - Approval of the sale of SBS Automotive A/S to Borg Automotive A/S was approved.

Point 3 - Mr. Mads Bonde was elected to the Board. The Board is composed of Mr. Peter Eriksen Jensen (Chairman), Mr. John Staunsbjerg Dueholm (Vice Chairman), Mrs. Jytte Petersen (Employee Representative) and Mr. Mads Bonde. Mr. Lars Radoor Sørensen and Mrs. Pernille Wendel Mehl withdrew from the Board.

Scandinavian Brake Systems A/S (SBS) is a Denmark-based company engaged in the manufacture of industrial and automotive parts. The Companyâs activities are divided into three divisions: SBS Automotive, which produces, remanufactures and distributes brake parts and related wear parts for the automotive aftermarket; SBS Friction, which is responsible for the development, manufacturing and distribution of brake components and friction materials for motorcycles and related vehicles, as well as for wind turbines and other specialized areas; and Notox, offering the production and sale of filters, which reduce particle emission from diesel motors. It operates primarily within the European market. Furthermore, the Company is a parent of SBS Automotive A/S, SBS Deutschland GmbH, SBS Friction A/S and Notox Holding A/S.
