The Sage Group plc (LSE:SGE) agreed to acquire Intacct Corporation from Bessemer Venture Partners, Hummer Winblad Venture Partners, Split Rock Partners, LLC, Battery Ventures, Emergence Capital Partners and others for $850 million on July 25, 2017. The Sage Group plc agreed to pay total consideration in cash and rolled over The Sage Group plc's options. Approximately $43 million of the transaction value will be rolled over into options to purchase Sage shares at a fixed exchange ratio based on Sage's share price in the period prior to completion. Key members of the Intacct executive management are rolling a minimum of 25% of their proceeds into new Sage options, vesting in 12 months assuming continued employment - in addition to other retention incentives being provided. Post-acquisition, Intacct Corporation will be renamed as Sage Intacct. Intacct Corporation reported revenues of approximately $88 million for twelve months ended to June 2017. Intacct's Chief Executive Officer, Robert Reid will remain to run the business. The transaction is subject to customary completion conditions and is expected to complete within weeks.
