On June 24, 2019, Rocky Mountain High Brands, Inc. entered into an Operating and Management Agreement with Sweet Ally, Inc. (Sweet Ally) for the management of a new jointly-owned limited liability company named Sweet Rock, LLC (Sweet Rock). Sweet Rock is owned 51% by Rocky Mountain High Brands and 49% by Sweet Ally. The new company has been organized to establish new brands and manufacture new products consisting primarily of edible products to be distributed nationally and internationally. Under the Agreement, the sole Manager of Sweet Rock will at all times be President and CEO, Michael Welch. Although CEO will have general management authority over Sweet Rock, certain actions will require the consent of 60% of the membership (or, effectively, both Sweet Ally and Rocky Mountain High Brands).
Rocky Mountain High Brands, Inc. is a consumer goods company that specializes in the developing, manufacturing, marketing, and distributing quality, health conscious, hemp oil and hemp extract-infused products that span various categories including beverage, food, fitness and skin care. It is also engaged in the business of canning both its own beverages as well as canning beverages for other customers. Through its subsidiary, Wellness For Life, Inc., the Company markets a lineup of CBD-infused products under the HEMPd brand. Its CBD-infused products include tinctures, serenity hemp lotion, gummies, water soluble concentrate, capsules, triple relief salve, liquid e-juice and e-juice vape cartridges.
