River - Increase in Share Capital Registered

Malta, 4 April 2022:

Reference is made to two announcements published by River Tech p.l.c. (the "Company", and together with its subsidiaries, the "Group") both on 28 December 2021, whereby the Company announced the issuance of 1,000,000 ordinary shares following the exercise of options and the issuance of 435,540 shares in the Company through an investment agreement, respectively.

The share capital increase has now been registered with the Maltese Business Registry. The new authorised share capital is 2,000,000,000 shares of which 20,452,275 shares have been issued, each with a nominal value per share of EUR 0.005. The shares shall entitle their holders to one vote for every share held.

The Company confirms that the shares are validly and legally issued and that they are fully paid up.
