PRESS RELEASE RESILUX TRANSFERS ITS PARTICIPATION IN THE JOINT VENTURE AIROLUX AND RECEIVES 62.000.000€ IN CASH

Wetteren, Belgium - April 26th, 2016.

Resilux and ATG have reached a final agreement in relation to the transfer of the 50% participation of Resilux in the joint venture Airolux.

In return for the shares, ATG will pay a cash consideration to Resilux of 25.000.000€ ultimately on 13 May 2016.

In addition, ATG will remit on a short term and ultimately by 31 August 2016 the full amount of +/- 37.000.000€ in cash that Resilux made available to the joint venture through shareholders loans.

Although, the joint venture cooperation as such between Resilux and ATG shall therewith come to an end, the final agreement reached explicitly provides the opportunity for Resilux to continue the supply of preforms to ATG based on a Global Preferred Supply Agreement.

Resilux is satisfied with the outcome of this deal and convinced that this deal was of necessity. Henceforth, Resilux shall focus fully and independently on the further expansion of its core business. The extra funds shall be re-invested in new projects that shall support the further growth of Resilux. Resilux maintains its focus on innovation and the development of new technologies for the packaging industry.
