Recomm Co., Ltd. (JASDAQ:3323) concluded an agreement to acquire Sunden Co., Ltd. from ACA Synergy No. 2 Investment Limited Partnership managed by ACA Inc. on December 17, 2018. During the financial year ended January 2018, Sunden Co., Ltd reported net assets of ¥323 million, total assets of ¥742 million, sales of ¥1.7 billion, operating loss of ¥65 million and net loss of ¥68 million. The transaction has been resolved by the Board of Recomm Co., Ltd. The transaction is expected to be completed by December 28, 2018.
Recomm Co., Ltd. Under the terms of the deal, Recomm Co., Ltd acquired 722 shares in Sunden. Corporate Advisers Accounting Co., Ltd. acted as independent third party appraiser in the transaction. The transaction has also incurred an advisory costs of ¥2 million.

The Company operates in three business segments. The Information Communication segment sells business phones, digital multifunction peripherals (MFPs) and other office automation (OA) equipment through the Company's operating stores, franchise stores and agencies. The Business Process Outsourcing (BPO) business operates outsourced business from within the group, outsourced business from customers outside the group mainly in China.
