PTT Public Company Limited ("PTT") would like to inform that Board of Directors of PTT at the meeting No. 7/ 2 5 6 5 on 21 July 2022 approved the establishment of Innobic Nutrition Company Limited ( " INNT" ) which is 100% owned by Innobic LL holding Company Limited ("INBL") ( a wholly owned subsidiary of PTT) , with the registered capital of Baht 100 million. The objective of the company establishment is to conduct Nutrition business including the Nutraceutical, which offer dietary supplements for general wellness that focuses on the suitable nutrition for each individual group by age, gender, or their nutritional needs as well as for specific prevention and the Medical Nutrition, which provide the nutritional needs for patients that will be developed for both general and specific patients. This establishment aligns with PTT's New S-Curve strategy in Life Science business. INNT is expected to complete its registration by the forth quarter of 2022.

This transaction is not a connected transaction and the transaction size does not require any disclosure under regulations on acquisition and disposition of assets of the listed companies. However, this is a report that a listed company or its subsidiary company acquires of an investment in another company, which results in that other company becoming to be a subsidiary company of the listed company or its subsidiary company. Therefore, INNT is the subsidiary of PTT.
