Reference is made to PM Thoresen Asia Holdings Public Company Limited ("the Company") distribution of the minority shareholders (free float) as of the Record Date for the right to attend the 2022 Annual General Meeting of Shareholders. The minority shareholders hold

14.61 percent of the paid-up capital which does not comply with the requirement of Stock Exchange of Thailand ("SET").

The Company would like to inform the SET that the we are in the process of discussing with the majority shareholders to consider to reduce the shareholdings by disposition of shares to the minority shareholders and also in consideration of other methods that will ensure that the distribution of the minority shareholders (free float) will comply with the requirement of the SET. The Company expects that the free float adjustment will be completed by December 2022.
