Braamby Trading Proprietary Limited and Truzen Trust 130 agreed to acquire the Orion House in Johannesburg from Orion Property Holding Trust for approximately ZAR 100 million on February 26, 2019. The consideration of ZAR 102.5 million shall be paid by ZAR 10 million in cash once all the suspensive conditions have been fulfilled and the balance of ZAR 92.5 million shall be secured by way of a bank guarantee from Investec Bank Limited, by no later than March 15, 2019 and the guarantee shall be payable on registration of transfer of the Property, cancellation of all existing mortgage bonds registered over the Property and registration of one or more mortgage bonds by either or both of the Purchasers over the Property. The deal are subject to due diligence investigation by Braamby Trading Proprietary Limited and Truzen Trust 130 and Orion is to obtain, by no later than March 7, 2019, a certificate from Investec, to the satisfaction of Braambry and Truzen, consenting to the sale of property and accepting an amount no more than ZAR 85,000,000 million in respect of the bond registered over the property and Orion is to obtain, by no later than March 7, 2019, clearance figures by the relevant local authority in order to issue a clearance certificate in respect of rates, utilities and any other amounts due to the local authority. As of May 25, 2019, the transaction has met all conditions. The parties are proceeding with the transfer of the property. As on March 27, 2019, Braamby Trading Proprietary Limited, Truzen 130 Trust and Orion Real Estate Limited have entered into a new agreement for approxiamtely ZAR 100 million. As per the terms of the new agreement, the consideration of ZAR 97.5 million shall be paid by ZAR 10 million to Braamby Trading Proprietary Limited and Truzen 130 Trust's attorneys on April 16, 2019 and ZAR 77.5 million shall be settled on registration of transfer, cancellation of all existing mortgage bonds registered over the property and registration of one or more mortgage bonds by either or both Braamby Trading Proprietary Limited and Truzen 130 Trust over the property and payment of ZAR 10 million on or before September 30, 2019, based on certain renewals of leases by tenants. The suspense condition is that Orion Real Estate Limited will provide Braamby Trading Proprietary Limited and Truzen 130 Trust on or before 29, 2019 with confirmation, evidenced by a certificate issued by Investec Bank Limited, to the satisfaction of Braamby Trading Proprietary Limited and Truzen 130 Trust, that the cancellation figures, being the amount required by Investec Bank Limited to be paid to it, in order that the existing first mortgage bond registered over Orion House in Johannesburg be cancelled on registration of Transfer, shall not exceed ZAR 75 million.
