ITEM 5.02.                 Departure of Directors or Certain Officers; Election of Directors;
                           Appointment of Certain Officers; Compensatory Arrangements of Certain
                           Officers.

On January 21, 2022, Dr. Robert Fishel notified OPKO Health, Inc. (the "Company"), that he was retiring from service on the Company's Board of Directors (the "Board"), effective January 21, 2022. Dr. Fishel previously served as a director of the Company since April 2018. At the time of his resignation, Dr. Fishel served on the Compensation Committee and the Succession Committees and was the chair of the Independent Investment Committee of the Board. Dr. Fishel's resignation is not a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
