Nokia announces a definitive agreement to acquire Infinera, a provider of innovative open optical networking solutions and advanced optical semiconductors, in a transaction with an enterprise value of $2.3 billion.

Infinera shareholders will be able to elect to receive up to 30% of the total consideration in the form of Nokia ADSs, with Nokia's Board of Directors committing to increase and accelerate its ongoing share buyback program to mitigate any dilution.

The transaction is expected to strengthen the Finnish network equipment supplier's technological leadership in the optical field, and 'increase its exposure to web-scale customers, the fastest growing segment of the market'.

It is expected to be accretive to Nokia's comparable EPS in the first year following completion, expected in the first half of 2025, subject to approval by Infinera shareholders and various regulatory authorities.
