ASX release Not for release or distribution in the United States COMPLETION OF SHARE PURCHASE PLAN

3 January 2017 - SYDNEY

Nearmap Ltd ACN 083 702 907 (ASX:NEA) (Nearmap or Company) advises that the share purchase plan that opened on 12 December 2016 (SPP) closed on Friday, 23 December 2016.

As announced on 12 December 2016, the Company sought to raise a maximum of $5 million under the SPP. The Company has accepted all valid applications received from eligible shareholders under the SPP totalling approximately A$725,000 and will issue 1,035,652 new fully paid ordinary shares (Shares) under the SPP at an issue price of A$0.70 per Share.

The Company expects that Shares issued under the SPP will be allotted on 4 January 2017 and that holding statements will be dispatched on 6 January 2017.

The Shares issued under the SPP are expected to commence trading on the ASX on 5 January 2017. Nearmap's board wishes to thank all shareholders who participated in the SPP.
