Lightron Inc. announced a private placement of 6th bearer type interest part no guaranteed private placement convertible bond for gross proceeds of KRW 7,000,000,000 and 7th unregistered coupon nonguaranteed private placement convertible bond for gross proceeds of KRW 3,000,000,000 for aggregate gross proceeds of KRW 10,000,000,000 on November 25, 2021. The transaction will include participation from new investor, Sangsangin Savings Bank, Investment Arm for 7th series bonds, For 6th series bound Baro Savings Bank for KRW 4,000,000,000, Sangsangin Savings Bank, Investment Arm for KRW 2,000,000,000, and Sangsangin Plus Savings Bank Co.,Ltd for KRW 1,000,000,000. The transaction is expected to close on November 26, 2021. The series 7th bonds and series 6 bonds bear an interest of 1%, maturity rate of 5% and will mature on November 26, 2022. The series 7th bonds are 100% convertible into 626,566 shares representing 2.4% stake at a conversion price of KRW 4,788 per share from November 26, 2022 to October 26, 2024. The transaction has been approved by the board of directors of the company. The securities issued are subjected to one year hold period.
