"Cooperative Agreement of Kenda Rubber (Shenzhen) Urban Renewal Project"
signed by Kenda Rubber (Shenzhen) Co., Ltd. with Jiazhaoye Urban Renewal
Group (Shenzhen) Co., Ltd.

Real Estate Co., Ltd. The transfer will not aggravate the responsibilities
and obligations of Kenda Rubber (Shenzhen) Co., Ltd., a subsidiary of the
Company, or prejudice its interests. Besides, the transfer will ensure that
Kenda Rubber (Shenzhen) Co., Ltd. does not suffer losses or take risks as a
result.
