Itafos (TSXV:IFOS) signed a definitive agreement to acquire Nu-West Industries, Inc. And Nu-West Mining, Inc. from Agrium Inc. (TSX:AGU) for approximately $100 million on November 6, 2017. The aggregate consideration to be paid by Itafos to Agrium shall be equal to $66.5 million with remaining balance to be paid is for inventory acquired. The purchase price is subject to working capital adjustments and is on a cash and debt free basis. In related transaction, Potash Corporation of Saskatchewan Inc. (TSX:POT) entered into an arrangement agreement to acquire Agrium Inc. for CAD 17.1 billion in a mergers of equal transaction on September 11, 2016. The divestiture of Conda phosphate production facility is intended to meet the regulatory requirements by Agrium to complete the Potash Corporation merger. In another related transaction, Trammo Nitrogen Products, Inc. signed a definitive agreement to acquire North Bend, Ohio Nitric Acid Facility from Agrium Inc. on November 7, 2017. Ron Wilkinson is appointed as Board of Directors of Nu-West Industries, Inc. And Nu-West Mining, Inc. The transaction is subject to U.S. Federal Trade Commission's approval and approval of the TSXV. The transaction is expected to close by year end 2017. As of January 2, 2018, the transaction is expected to close no later than ten business days from the effective date of the arrangement involving Nutrien Ltd., Agrium and PotashCorp.
