Harbin Bank Co., Ltd Announces Change in Supervisors

The board of directors of Harbin Bank Co., Ltd. announced that the board of supervisors (the "Board of Supervisors") of the Bank considered and passed the Proposal on Change in Certain External Supervisors at a meeting held on 20 March 2019. Since each of Ms. Bai Fan and Ms. Meng Rongfang, as the incumbent external supervisor of the Seventh Session of the Board of Supervisors, has served as the supervisor of the Bank for two consecutive sessions, and the total tenure of whom is going to reach six years, according to relevant regulatory requirements in China and for the purpose of ensuring the continuity of corporate governance, performance efficiency of the Board of Supervisors and consistent composition of the Board of Supervisors of the Bank, the Board of Supervisors approved and proposed to nominate Ms. Li Zhaohua and Mr. Sun Yi as the external supervisor candidates of the Seventh Session of the Board of Supervisors to the shareholders' general meeting. Each of the appointment of Ms. Li Zhaohua and Mr. Sun Yi is subject to the consideration and approval by the shareholders' general meeting of the Bank. Upon obtaining the approval by the shareholders' general meeting of the Bank on the appointment of each of Ms. Li Zhaohua and Mr. Sun Yi, Ms. Bai Fan and Ms. Meng Rongfang will cease to serve as the supervisors of the Bank. Ms. Li Zhaohua has been a professor of the School of Accounting of Harbin University of Commerce since July 2005, a professional advisor of the Accounting Department of the Specialty Construction Committee of Heilongjiang University of Finance and Economics since June 2018. Mr. Sun Yi has been a professor of the School of Law of Heilongjiang University since September 2015, a standing executive member of the sixth council of the Harbin Law Society since December 2018.
