MAJOR TRANSACTION

IN RELATION TO THE ACQUISITION

OF A TARGET COMPANY

DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement of the Company dated 11 October 2019 in relation to, among other things, the Acquisition (the "Announcement"). Capitalised terms used herein shall have the same meanings as those defined in the Announcement unless otherwise specified.

Pursuant to Rule 14.41(a) of the Listing Rules, a circular containing, among other things, details of the Acquisition is required to be despatched to the Shareholders within 15 Business Days after the publication of the Announcement, which shall be on or before 1 November 2019. As it is expected that the Company will require additional time to prepare the financial information for inclusion in the circular, the Company has applied to the Stock Exchange and the Stock Exchange has granted a waiver from strict compliance with Rule 14.41(a) of the Listing Rules for the circular to be despatched on or before 25 November 2019 so as to include the financial information. The date of despatch of the circular is expected to be delayed to a date falling on or before 25 November 2019.
