Lai Xingyu entered into an agreement to acquire 2.2% stake in Goldlok Holdings(Guangdong) Co.,Ltd. (SZSE:002348) from Puning XinHonghui Industrial Investment Co., Ltd. for CNY 33.6 million on September 3, 2021. Under the terms, Puning XinHonghui Industrial Investment Co., Ltd. transfers 20,838,400 unrestricted shares of Goldlok Holdings(Guangdong) Co.,Ltd. at CNY 1.61 per share. Post completion, Lai Xingyu and Puning XinHonghui Industrial Investment Co., Ltd. holds 2.2% and 10% stake in Goldlok Holdings(Guangdong) Co.,Ltd., respectively. Puning XinHonghui Industrial Investment Co., Ltd. agrees and approves this agreement and the transfer of shares under this agreement; the transfer of shares under this agreement has been approved by all competent authorities under Chinese law before the completion of the transfer. Lai Xingyu has obtained the necessary approvals and authorizations for signing this agreement and fulfilling its obligations under this agreement. And the transaction is still subject to confirm compliance with the Shenzhen Stock Exchange, and go through the share transfer registration procedures at the Shenzhen Branch of China Securities Depository and Clearing Co., Ltd.
