Pursuant to § 7 in reference to § 5 Point 1.1 of the RegulationoftheMinisterofFinanceof19February
2009onCurrentandPeriodicInformationtoBeSuppliedbyIssuersofSecuritiesandonConditionsofAcknowledgingInformationRequiredbytheLawsofaNon-MemberCountryasEquivalent,i.e.JournalofLaws2014.133("theRegulation"), the Management Board of Polski Koncern Mięsny DUDA S.A. of Warsaw ("the Company", "the Issuer"), in reference to Current Report no. 34/2014 dated 10.12.2014 concerning execution, on 20 November 2014, of Annex no. 2 to the Overdraft Facility Agreement ("Annex no. 2") with Credit Agricole Bank Polska S.A. of Wrocław, pl. Orląt Lwowskich 1, 53-605
Wrocław ("Bank Loan Agreement"), announces that it has been notified about an entry made by the District Court for Poznań Stare Miasto in Poznań, 6thDepartment of Land and Mortgage Registry in Land and Mortgage Register No. PO2P/00178476/6, kept for the real property to which the Company is the perpetual usufructuary, and about a modification of the existing joint mortgage in the amount of PLN 22,500,000.00 into a joint mortgage in the amount of PLN 52,000,000.00, established as a collateral of the Bank's claims arising from the Bank Loan Agreement.
The above mortgage encumbers:
(1)a real property to which the Company is the perpetual usufructuary and for which the District Court for Poznań Stare Miasto in Poznań, 6thDepartment of Land and Mortgage Registry keeps Land and Mortgage Register No. PO2P/00178476/6,
(2)a real property owned by the Company, for which the District Court for Poznań-Stare Miasto in Poznań, 5thDepartment of Land and Mortgage Registry keeps Land and Mortgage Registers Nos. PO1P/00110164/5 and PO1P/0008242/8,
(3)a real property to which the Company is the perpetual usufructuary and for which the District Court for Kraków-Podgórze in Kraków, 4thDepartment of Land and Mortgage Registry keeps Land and Mortgage Register No. KR1P/00201140/7,

(4)a real property owned by Bioenergia sp. z o.o. of Grąbkowo and for which the District Court in Trzebnica, 4thDepartment of Land and Mortgage Registry keeps Land and Mortgage Register No. WR1W/00036766/8,
(5)a real property owned by the Company, for which the District Court for Warszawa-Mokotów in Warszawa, 13thDepartment of Land and Mortgage Registry keeps Land and Mortgage Registers Nos. WA1M/00077148/3, WA1M/00144169/7, WA1M/00108252/2 and WA1M/00090573/8,
(6)a real property owned in the interest of 899/1856 by the Company and for which the District Court for Warszawa-Mokotów in Warszawa, 13thDepartment of Land and Mortgage Registry keeps Land and Mortgage Register No. WA1M/00078956/7,
(7)a real property to which the Company is the perpetual usufructuary and for which the District Court in Bytom, 4thDepartment of Land and Mortgage Registry keeps Land and Mortgage Register No. KA1Y/00004294/8,
(8)on real properties owned by AGROFERM Sp. z o.o. of Grąbkowo, for which the District Court in Trzebnica, 8thBranch Department of Land and Mortgage Registry in Milicz keeps Land and Mortgage Registers Nos. WR1M/00021671/9 and WR1M/00028493/6
(9)a real property owned by AGRO-DUDA Sp. z o.o. of Grąbkowo and for which the District Court in Myszków, 5thDepartment of Land and Mortgage Registry keeps Land and Mortgage Register No. CZ1M/00076123/3,
(hereinafter referred to jointly as "the Real Properties").
Declaration on the mortgage establishment were filed by the relevant companies on 28.11.2014 in keeping with the relevant provisions of the Banking Law.
The established mortgage is a collateral of the Bank's claims under the Bank Loan Agreement as described in detail in Current Report No. 34/2014.
The total book value of the real properties encumbered with the abovementioned mortgages is PLN
39,436,000 (rounded to the nearest thousand of PLN and as at the balance sheet date of the last periodic report, i.e. as at 30.09.2014).
Any connections of the Company and any governing or supervising persons with the Bank are of the pure business nature and result from the concluded Agreements.
Moreover, the Company explains that the Real Properties meet the criterion of assets of a significant
value, as set out in Par. 1 Sec. 1.45 letter a) of the Resolution, since they account for at least 10% of the equity of the Company.
